Operations
Setting up fund operations in Singapore involves more moving parts than most first-time managers expect. Here is what you need, what it costs, and the sequence that works.

Regulatory
MAS has been busy. From the RFMC phase-out to new VCC governance expectations and tighter AML rules, here is what Singapore fund managers need to act on now.
A VCC is a corporate fund structure introduced in Singapore in 2020 under the Variable Capital Companies Act. Unlike a traditional LP, a VCC is a company that can issue and redeem shares without shareholder approval, making capital flexible. It can operate as a standalone fund or as an umbrella VCC with legally segregated sub-funds — reducing entity proliferation for multi-strategy managers.
No — Infra One charges zero setup and legal fees for VCC formation in Singapore. The platform covers fund structuring, constitutional documents, digital investor onboarding, and ongoing administration. MAS tax incentive applications and annual compliance are managed as part of the service.
The fund manager must hold a Capital Markets Services (CMS) licence, be a registered fund management company (RFMC), or fall under an exemption. Most emerging VC managers use the Venture Capital Fund Manager (VCFM) exemption — a lighter-touch regime for managers investing primarily in unlisted early-stage companies. The RFMC route (for up to S$250 million AUM and 30 qualified investors) is another common option.
VCC incorporation with ACRA takes 1 to 3 business days. With Infra One handling legal structuring, fund documentation, regulatory filings, and bank account opening, the typical timeline from engagement to first close is 4 to 6 weeks.
Singapore has no capital gains tax, so equity investment exits are generally tax-free. For other income types, VCCs can apply for the Section 13O (onshore) or Section 13U (enhanced tier) fund tax exemption schemes, which exempt specified investment income from Singapore tax. VCCs can also elect tax-transparent treatment, allowing income to flow through to investors who may benefit from their own treaty positions.
Singapore combines a zero capital gains tax regime, over 90 double tax agreements (including all ASEAN countries), a credible MAS regulatory framework, deep professional talent pool, and a strong English common law system. It is the natural financial hub for deploying capital across Southeast Asia, with direct connectivity to Indonesia, Vietnam, Thailand, and the Philippines.
