Regulatory
Cayman fund regulation goes well beyond the initial CIMA registration. AML procedures, beneficial ownership transparency, FATCA/CRS, and economic substance all require ongoing attention.

Fund structuring
The '2 and 20' model is no longer the default. Here is how carry actually works in modern Cayman fund structures, and the tax traps that first-time managers miss.
Infra One charges a single annual administration fee per feeder vehicle, with zero setup and legal fees. The master-feeder coordination — including consolidated reporting, cross-vehicle capital calls, tax coordination, and CIMA compliance — is included in the platform.
A Cayman feeder is the standard offshore vehicle in master-feeder structures. It serves non-US investors and US tax-exempt investors (endowments, pension funds, foundations) who want to avoid US tax filing obligations and UBTI exposure. The Cayman feeder invests into the master fund alongside the onshore feeder, sharing the same portfolio.
Cayman feeders are typically structured as exempted limited partnerships (ELPs) or exempted companies. The ELP provides tax transparency and contractual flexibility, while the exempted company form is sometimes preferred for certain institutional investors. Both structures are tax-neutral under Cayman law.
Cayman feeders accepting investor commitments fall under the Private Funds Act and must register with CIMA within 21 days. The registration is a filing process, not an approval, so it does not create delays. Annual CIMA fees and prescribed particulars filings are handled by Infra One as part of the ongoing administration.
The Cayman entity formation takes 3 to 5 business days. Including legal documentation, service provider appointments, and investor onboarding, a Cayman feeder can be operational within 3 to 4 weeks. In a master-feeder structure, the Cayman feeder is typically set up in parallel with the onshore feeder.
Each Cayman feeder requires separate financial statements, NAV calculations, capital account maintenance, CIMA annual filings, FATCA/CRS reporting, and audit support. The AML compliance officer must be Cayman-resident. Infra One handles all ongoing administration, regulatory filings, and coordination with the master fund as part of the annual fee.
